The M&A Advisor awarded the M&A Deal of the Year award to Gould & Ratner for its work on Golden Vision Capital Americas’ acquisition of Hawkes Learning.

Gould & Ratner Corporate partner Fred Tannenbaum led the legal effort, recruiting and leading a team of attorneys to deliver an international acquisition. Special thanks to Corporate partner David Hoeppner, Corporate associate Isaac Idicula, Banking partner Matt Olins and Corporate paralegal Susan Mosteller, as well as a team of Tax and Employment lawyers.

“This deal is a testament to our ability to assemble an integrated team of corporate, tax, banking and employment attorneys in the United States and India to navigate these challenges and lead an award-winning deal,” Tannenbaum said.  “Winning an award is great, but helping GVC and Hawkes grow is the real prize.”

Hawkes Learning is a South Carolina-based developer of education software tutoring math to college students. It uses AI and a SaaS model. Its operations are throughout the United States, Canada and India.

“We are very excited to partner with Dr. Hawkes, Scott, Brad and the entire Hawkes Learning team on this transaction,” said Eli Boufis, Head of Private Equity Americas for Golden Vision Capital. “GVC was founded to partner with owner-operators to provide the infusion of capital necessary to create industry leaders. The core of this thesis is supporting the existing employees and management team and providing them with the tools to make the business truly transformative.”

Boufis also said about Gould & Ratner’s role in the transaction:  “Not enough can be written about how thankful I am for your support… You are always in our corner, always driving ahead. … You [and your colleagues] are a great friend, advisor and attorney.”
